Media Usage Licence
This Media Usage Licence (“Licence”) applies to all footage, photography, audio, edits and deliverables created by the Supplier (named on the quote/invoice) for the Client.
1) Definitions
Completion Date means the date the final deliverables are delivered to the Client (or deemed accepted under clause 8.2 of the main Terms, if applicable).
Deliverables means the final outputs supplied under the quote/invoice (e.g., final video files, exports, final images).
2) Licence grant, duration, and start date
2.1 Licence start: subject to clause 2.2, the Licence applies from the Completion Date.
2.2 Payment condition: the Client may not publish, distribute, broadcast, advertise with, or otherwise use the Deliverables until all invoices due in relation to the project are paid in full in cleared funds (unless the Supplier agrees otherwise in writing).
2.3 Licence duration and rights: the duration, territory, media/channels, and any paid advertising rights (including whether whitelisting is permitted and for how long) are as stated in the quote/invoice (or statement of work).
2.4 If not stated in the quote: the Licence is granted for 12 months, worldwide, for the Client’s owned channels (website, organic social, email, internal use). Paid advertising, broadcast, OOH, cinema, and whitelisting are excluded unless expressly agreed in writing.
3) Terms of Use
3.1 Copyright: All footage and content remain the copyright of the Supplier unless explicitly transferred in writing.
3.2 Usage scope: Usage is limited to the scope defined in the quote. Any further usage requires written approval and may incur additional licensing fees. Any extension to duration, territory, media, or paid usage requires written approval and may incur additional licensing fees.
3.3 No third-party reuse: No third party (including editors, contractors, agencies, or talent involved in production) may use or share any footage or deliverables for personal portfolios, showreels, or promotional purposes without express written permission and licensing from the Supplier.
3.4 Consents and releases: The Client is responsible for ensuring all relevant filming consents/releases are obtained when individuals are identifiable in footage and for complying with applicable data protection laws where the Client controls those relationships.
3.5 Credit: Where agreed in writing, credit should be given to the Supplier when content is used publicly.
3.6 No misleading alterations: The content may not be altered, re-edited, or repurposed in a way that misrepresents the brand, original context, or the reputation of the Supplier without prior written approval.
3.7 Breach: Breaches of these terms may result in takedown requests, retroactive licensing fees, suspension of services, and/or legal action.
